These Terms of Service are effective immediately

1. Acceptance of Terms

These Terms of use and all policies and additional terms (if applied) posted on the site set out the terms on which we offer you access to and use of our site, services and mobile applications. Find all of our policies and terms here: www.ojjoshop.com. (legal documents) these legal documents are incorporated by reference into these terms and conditions.

Important Notice

By accepting, registering and continuing to access or use our services, you are agreeing to be bound by these terms of use and the legal documents with immediate effects which are subjected to change by us (ojjoshop) at any time. Your continued use of the site following any such change constitute your agreement to these terms of use and legal document as modified.

References in these terms to "you" (or similar) are references to you as an individual or any legal entity as the case may be.

About the Site (OJJOSHOP)

The site is an e-commerce platform that allows businesses (enterprise users) to offer and sell products, and individuals and enterprise entities to buy products. We reserve the right to introduce new services and update or withdraw any of the services in our sole discretion, and we will not be liable to you for exercising this discretion.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform" refers to the Ojjoshop website, mobile applications, and all related services
  • "User" refers to any person who accesses or uses the Platform
  • "Customer" refers to a User who purchases products through the Platform
  • "Vendor" refers to a User who sells products through the Platform
  • "Content" refers to all information, data, text, images, videos, and other materials on the Platform
  • "Products" refers to goods and services offered for sale on the Platform
  • "Order" refers to a Customer's request to purchase Products from a Vendor

3. Your Duties

3.1 Account Security and Responsibilities

When accessing ojjoshop services you agree that you:

  • Are responsible for maintaining the confidentiality and restricting access to and use of your account and password
  • Agree to immediately notify us of any unauthorized use of your password or account or any other breach of security in your account
  • To provide complete, true, accurate information about yourself and your use of the services as required by us
  • Agree not to disclose to any third party (except as required by us - ojjosupport team)
  • Will cooperate with our request for additional information with respect to your eligibility and use of our services

3.2 Prohibited Content and Activities

When you access our services you agree not to:

  • Post, list, or upload in any manner any information which is defamatory, obscene, libelous, invasive of another's privacy, hateful, ethically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever
  • Post, list, or upload content or items in inappropriate or prohibited categories or areas on our site
  • Content or items which may not be considered to be in compliance with general local laws, Islamic laws, or any religion, rules, morals, values, ethics and traditions
  • Contents or items that may threaten the national security and services
  • Weapons of any description
  • Chemicals
  • Securities, including shares, bonds, debentures, or any other financial instruments or assets of any description
  • Stolen items or post counterfeit items
  • Post or list items you do not have a right to link to or include
  • Living or dead creatures and whole or any part of any animal which has been kept or preserved by any means whether by artificial or natural
  • Items which may be considered or constitute to promote gambling
  • Non-transferable vouchers

4. Marketplace Rules

4.1 General Conduct

All Users must:

  • Comply with all applicable laws and regulations
  • Respect the rights of other Users
  • Provide honest and accurate information
  • Use the Platform only for lawful purposes

4.2 Customer Responsibilities

  • Provide accurate shipping and payment information
  • Pay for Orders in accordance with the payment terms
  • Review Products carefully before making purchases
  • Follow return and refund policies

4.3 Communication Guidelines

Professional Communication

All communication between Users must be professional, respectful, and conducted through the Platform's messaging system.

5. Vendor Terms

5.1 Vendor Registration

To become a Vendor, you must:

  • Complete the vendor verification process
  • Provide valid business registration documents
  • Agree to additional vendor-specific terms
  • Maintain active and compliant business operations

5.2 Product Listings

Vendors are responsible for:

  • Ensuring all product information is accurate and complete
  • Maintaining current inventory levels
  • Providing high-quality product images and descriptions
  • Setting fair and competitive prices
  • Complying with all applicable product safety regulations

5.3 Order Fulfillment

Vendors must:

  • Process Orders within 24 hours of receipt
  • Ship Products within specified timeframes
  • Provide accurate tracking information
  • Handle customer service inquiries promptly
  • Honor return and refund policies

5.4 Performance Standards

Vendor Performance Metrics

Vendors must maintain:

  • Minimum 4.0-star customer rating
  • 95% on-time delivery rate
  • Less than 5% return rate
  • Response time under 12 hours for customer inquiries

6. Payments and Fees

6.1 Customer Payments

  • Customers must pay for Orders at the time of purchase
  • Payment methods include credit cards, mobile money, and bank transfers
  • All prices are listed in Ugandan Shillings (UGX)
  • Additional fees (shipping, taxes) may apply

6.2 Vendor Payments

  • Vendors receive payments weekly on Fridays
  • Minimum payout threshold: UGX 50,000
  • Payments are transferred to registered bank accounts
  • Processing fees may apply for certain payment methods

6.3 Platform Fees

Commission Structure
  • Electronics: 5% commission
  • Fashion & Beauty: 8% commission
  • Home & Garden: 6% commission
  • Other categories: 7% commission

6.4 Refunds and Disputes

Refund processing depends on the payment method and may take 3-10 business days. Disputed transactions will be reviewed on a case-by-case basis.

7. Intellectual Property

7.1 Platform Content

The Platform and its content, including but not limited to text, graphics, logos, images, software, and functionality, are owned by Ojjoshop and protected by intellectual property laws.

7.2 User Content

Users retain ownership of content they upload to the Platform. By uploading content, you grant Ojjoshop a non-exclusive, worldwide license to use, display, and distribute such content in connection with the Platform.

7.3 Intellectual Property Violations

Copyright Protection

We respect intellectual property rights and will remove infringing content upon proper notification. Repeat infringers may have their accounts terminated.

8. Prohibited Activities

Users are prohibited from:

  • Creating multiple accounts
  • Sharing account credentials
  • Impersonating others
  • Providing false information
Content Violations
  • Uploading illegal or harmful content
  • Infringing intellectual property rights
  • Posting misleading information
  • Spam or unsolicited communications
Commercial Violations
  • Selling prohibited items
  • Price manipulation
  • Fake reviews or ratings
  • Circumventing platform fees
Technical Violations
  • Attempting to hack or disrupt the Platform
  • Using automated tools without permission
  • Interfering with other Users' access
  • Reverse engineering Platform software

6. Liability and Disclaimers

6.1 Limitation of Liability

In relation to these Terms of Use, we are not liable for loss of profits, loss of data or information, business interruption or other pecuniary loss or for any special, indirect, incidental or consequential damages, even if we, our affiliates, directors, officers, agents, employees, licensors, subcontractors or suppliers have been advised of the possibility of such damages.

6.2 Additional Limitations

In addition, to the extent permitted by applicable law, we (including our parent company, subsidiaries and affiliates and our and their directors, officers, agents, employees, suppliers, subcontractors or licensors) are not liable, and you agree not to hold us responsible, for any damages or losses resulting directly or indirectly from:

  • The content or other information you provide when using the Services
  • Your use of or your inability to use our Services
  • Pricing, shipping, format or other guidance provided by us
  • Delays or disruptions in our Services
  • Viruses or other malicious software obtained by accessing or linking to our Services
  • Bugs, errors or inaccuracies of any kind in our Services
  • Damage to your hardware device from the use of products sold on the Site or our Services
  • The content, actions or inactions of third parties using our Services
  • A suspension or other action taken by us with respect to your use of the Services
  • Returned products are missing, fake or damaged
  • Repeated request for monetary compensation

10. Dispute Resolution

10.1 Internal Resolution

We encourage Users to resolve disputes through our internal resolution process:

  1. Contact the other party directly through the Platform
  2. If unresolved, escalate to our customer support team
  3. Participate in mediation if requested
  4. Accept binding arbitration if mediation fails

10.2 Arbitration

Any disputes that cannot be resolved internally shall be settled through binding arbitration in accordance with Ugandan arbitration laws.

10.3 Class Action Waiver

Users waive the right to participate in class action lawsuits against Ojjoshop.

7. Termination and Account Management

7.1 Termination by User

You may terminate your account at any time by contacting our support team. Upon termination:

  • Your access to the Platform will be discontinued
  • Outstanding orders will be processed according to our policies
  • Vendor accounts may have additional settlement procedures

7.2 Termination by Ojjoshop

We may suspend or terminate your account immediately if you:

  • Violate these Terms of Service
  • Engage in fraudulent or illegal activities
  • Compromise the security or integrity of the Platform
  • Fail to pay applicable fees (for Vendors)

7.3 Effect of Termination

If your access to our Services or our Platform is terminated for any reason, we may delete any content or other materials relating to your use of the Service (including any credits earned through loyalty programs or reward points) and we will have no liability to you or any third party for doing so. However, your transaction details may be preserved by us for purposes of tax or regulatory compliance.

7.4 Refunds for Cancelled Orders

Refund Policy

For the avoidance of doubt, any amounts paid and received by us in relation to a cancelled product(s) order will be refunded.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Uganda. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of Uganda.

12.1 Jurisdiction

Users consent to the personal jurisdiction of Ugandan courts for the resolution of any disputes.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
